Terms of Service

These Terms of Service ("Terms") govern your use of the Authgent desktop application, SDK, and related services (collectively, the "Service") provided by Forgestar Labs ("we", "us", "our"). By purchasing, installing, or using the Service, you agree to these Terms.

1. Service Description

Authgent is a credential management service for AI agents. The Service includes a desktop application, a Python SDK, and supporting infrastructure.

2. License & Activation

• Each license is granted per-seat and is bound to a single machine at activation.
• Activation codes are single-use. Once activated, a code cannot be transferred to another machine without first deactivating the current device.
• You may not share, resell, sublicense, or distribute activation codes.
• We reserve the right to revoke licenses that violate these Terms.

3. Acceptable Use

You agree not to:

• Reverse-engineer, decompile, or disassemble the Service or its components.
• Attempt to circumvent machine-binding, license validation, or any security mechanism.
• Use the Service to store or proxy credentials for illegal purposes.
• Interfere with, disrupt, or place an unreasonable load on the Service infrastructure.
• Redistribute the desktop application or SDK outside the terms of the license.

4. Subscription & Billing

• The Service is billed per agent per month through Stripe.
• Subscriptions renew automatically unless cancelled before the current period ends.
• You may cancel at any time. Access continues until the end of the paid billing period.
• No refunds are provided for partial months or unused agents.
• We may change pricing with 30 days' notice. Existing subscriptions remain at their current rate until the next renewal after the effective date.

5. Your Credentials

• You are solely responsible for the API keys and credentials you store in the Service.
• The Service operates on a zero-custody model: we cannot access, view, or extract your stored credentials.
• You are responsible for ensuring you have the right to use any third-party API keys you store.
• We are not responsible for charges incurred on third-party services as a result of API calls made through the Service.

6. Security

We take security seriously. However, no system is perfectly secure. We are not liable for breaches caused by:

• Compromise of your local machine or operating system.
• Weak or reused credentials that you store in the Service.
• Vulnerabilities in third-party APIs you connect through the Service.

If you discover a security vulnerability, please report it to security@authgent.ai.

7. Data & Privacy

Your use of the Service is also governed by our Privacy Policy.

8. Availability & Updates

• We aim for high availability but do not guarantee uninterrupted service.
• The desktop application includes an automatic update mechanism. By using the Service, you consent to receiving updates.
• We may modify, suspend, or discontinue features with reasonable notice.

9. Limitation of Liability

To the maximum extent permitted by law, Forgestar Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Forgestar Labs from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

11. Termination

We may terminate or suspend your access to the Service immediately if you breach these Terms. Upon termination, your license is revoked and you must stop using the Service. Sections 5, 9, 10, and 12 survive termination.

12. Governing Law

These Terms are governed by the laws of the Federal Republic of Germany. Any disputes shall be resolved in the courts of Berlin, Germany.

13. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or through the desktop application. Continued use after changes take effect constitutes acceptance.
